The Code of Ethics establishes the basic ethical principles that every person working with or for Medis srl is required to observe.
Being part of Medis srl means committing oneself to the code. Failure to comply with the code is considered misconduct and could result in disciplinary action or sanctions under labor law (including dismissal) and other legal sanctions.
Every person working with or for Medis Ltd. is required to comply with the code.
The code applies to all employees (full-time, part-time, and temporary), the administrator, any managers, consultants, sales agents, distributors, employees of distributors, subdistributors, and anyone performing services on behalf of the company; the code refers to any person in any of these categories as a “representative of the company.”
Medis srl implements a corporate culture that entices people, internally and externally, to work for it and support it over time.
Medis srl ensures equal treatment regardless of gender, sexual orientation, race, religion, age, marital status, disability, national origin, or any other characteristic prohibited by law.
It does not tolerate in any way discrimination, harassment, bullying or intimidation of any form (physical, verbal or nonverbal). These include offensive comments, jokes, insults as well as other visual, nonvisual, graphic, electronic or physical conduct that may create an offensive, hostile or intimidating work environment. Sexual harassment can occur between persons of the same or opposite sex and includes unwelcome sexual advances, requests for sexual favors, or other conduct of a more or less overt sexual nature.
Medis Ltd. is committed to safeguarding the health and safety of its employees by eliminating workplace hazards and complying with all applicable occupational health and safety laws. All employees are required to report unsafe working conditions, threats, and actions or situations (including those related to suppliers or customers) that may give rise to instances of unsafety in the workplace.
The company also recognizes its obligation as a corporate citizen to conduct all its activities in a manner that preserves and promotes a clean, safe and healthy environment. It continually seeks methods to ensure that company activities meet or exceed applicable environmental standards.
All employees must protect the company’s assets and ensure their efficient use. Theft, carelessness and waste have a direct impact on the company’s profitability. All company assets must be used for legitimate company purposes. Company property and equipment must be used only for company business, although occasional personal use of the property may be permitted under certain circumstances.
No applications or software not expressly approved may be installed on company laptops or mobile devices.
Medis Ltd. observes respect for the principle of confidentiality. It is not permitted to accept, disclose or use information obtained in violation of a confidentiality agreement.
Confidential information includes all non-public information that, if disclosed, could be used by competitors or cause harm to the company or its customers. Confidential information also includes all non-public information learned regarding the company’s suppliers and customers that is not in the public domain.
The obligation to protect confidential information continues even after the termination of the employment or agency relationship with the company. Any documents, forms, records or other tangible assets containing trade secrets or proprietary information are the property of the company.
Every employee and director shall endeavor to treat the company’s customers, suppliers, competitors, and employees fairly. No one shall take unfair advantage of any person through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other intentional unfair practice.
Medis Ltd. is committed to competing in full compliance with all applicable competition (antitrust/fair dealing) laws. All employees and consultants, particularly those involved in marketing, sales and purchasing, or who are in regular contact with competitors, must comply with competition laws.
Antitrust and competition laws regulate, among other things, relationships between competitors; distribution agreements; patent, copyright, and trademark concessions; territorial restrictions for resellers and licensees; rebates and discounts for customers; and pricing policies.
In general, operations must be conducted in accordance with the principles of fair competition and all applicable laws and industry codes.
No employee, officer, or director of Medis Ltd. shall offer, pay, authorize payments, or offer money or anything of value to customers, public officials, or third parties for the purpose of obtaining an undue economic advantage. For the purposes of this Policy, the term “undue” means an illegitimate purpose or corrupt purpose. The term “valuable asset” includes but is not limited to:
Cash Money, Rebates, Discounts, Travel and Stays, Gifts, Forms of Sponsorship, Contractual Arrangements, Leases, Tickets, Forms of Entertainment, Promises of Employment, Use of Materials, Equipment, Software, or Facilities, Grants, Donations.
Relationships with health care professionals (“health care providers”), including clients and consultants, are very important to Medis srl; therefore, it is committed to complying with all laws and regulations governing their interactions.
Medis srl engages only in fair dealing and bans conduct that unlawfully induces (or appears to unlawfully induce) a person to purchase, hire, recommend, use, or arrange for the purchase, hire, or use of its products.
Medis Ltd.’s financial transactions are recorded accurately so that the nature of the transaction is evident. All accounting records are kept in a manner that complies with applicable laws and accounting standards, rules, and regulations relating to financial matters.
Each person working with or for Medis Ltd. is required to comply with the code and to report violations of laws, rules, regulations, or this code to the appropriate personnel.
The company does not permit retaliation for reports of misconduct made in good faith.
